Terms of Service

1. Definitions

  • "Medilust": Medilust S.r.l., with registered office at Piazzetta Ado Furlan 4, 33170 Pordenone (PN), Italy, VAT IT01999240938.
  • "Mami AI" or "the Service": the digital platform provided by Medilust for managing dental practices.
  • "Client": the dental practice or healthcare facility that subscribes to the Service.
  • "User": any person authorized by the Client to access the platform.
  • "Patient": the individual whose data is managed by the Client through the platform.

2. Subject of the service

Medilust provides the Client with access to the Mami AI platform, which includes:

  • Appointment and calendar management
  • Automated patient communication via WhatsApp Business, SMS, email and phone
  • AI-based voice assistant
  • Administrative management, invoicing and tax compliance
  • Analytics and reporting

The Service is delivered on a SaaS (Software as a Service) basis.

3. Requirements for use

The Client must:

  • Be a business duly registered in Italy
  • Provide truthful and up-to-date business information
  • Have a WhatsApp Business account to use the messaging features
  • Warrant that it has obtained the necessary consents from its patients for data processing and for sending communications

4. Account and access

The Client is responsible for safeguarding its access credentials and for all activities performed through its account. In the event of unauthorized access, the Client must notify Medilust immediately.

5. Use of WhatsApp messaging

Sending messages via the WhatsApp Business API is subject to the policies of Meta Platforms, Inc. The Client undertakes to:

  • Not send spam or unsolicited messages
  • Respect the messaging windows set by Meta
  • Obtain patients' explicit consent before sending promotional messages
  • Not use the service for unlawful purposes

The cost of WhatsApp messages is included in the Service fee, unless otherwise agreed.

6. Processing of personal data

  • The Client acts as Data Controller for its patients' data.
  • Medilust acts as Data Processor pursuant to Art. 28 of the GDPR.
  • Data processing is governed by a dedicated Data Processing Agreement (DPA) attached to the service contract.

7. Service levels

Medilust undertakes to ensure platform availability of 99.5% on a monthly basis, excluding scheduled maintenance windows communicated at least 24 hours in advance.

8. Intellectual property

The Mami AI platform, including its software, interfaces, algorithms and documentation, is the exclusive property of Medilust. The Client is granted a non-exclusive, non-transferable license to use it, limited to the duration of the contract.

Data entered by the Client into the platform remains the property of the Client.

9. Limitation of liability

  • Medilust is not liable for damages arising from service interruptions caused by third parties (Meta, hosting providers, telephone operators).
  • Medilust is not liable for improper use of the platform by the Client or its Users.
  • Medilust's total liability is limited to the amount of fees paid by the Client in the 12 months preceding the event.

10. Term and termination

  • The contract has an annual term with automatic renewal.
  • Either party may terminate with 30 days' written notice before the expiry date.
  • In the event of termination, Medilust guarantees the export of the Client's data within 30 days of service termination.

11. Data deletion

Upon termination of the contract:

  • The Client's data will be made available for export for 30 days
  • After 30 days, the data will be permanently deleted from our systems
  • Data that we are required by law to retain is excepted

12. Governing law and jurisdiction

This contract is governed by Italian law. The Court of Pordenone shall have exclusive jurisdiction over any dispute.
